End User License Agreement (EULA)
This End User License Agreement (“Agreement”) is a legally binding contract between you (“User”) and PhilSocial (“Platform,” “we,” “us,” or “our”) governing your use of the PhilSocial application, website, and services (collectively, the “Platform”). By accessing, downloading, or using the Platform, you agree to comply with this Agreement. If you do not agree, you must not use the Platform.
- Acceptance of Terms
- By creating an account or using the Platform, you acknowledge and agree to:
- This EULA, including all policies incorporated by reference.
- PhilSocial’s Privacy Policy, Child Safety Standards Policy, and Community Guidelines.
- All applicable laws, regulations, and third-party service agreements (e.g., blockchain network providers).
- If you are using PhilSocial on behalf of an organization, you represent that you are authorized to bind that organization to this Agreement.
- Account Registration and Security
- Eligibility: You must be at least 13 years old to use the Platform. If you are under 18, you represent that your legal guardian has reviewed and agreed to this Agreement on your behalf.
- Account Creation: You must provide accurate and up-to-date information when creating your account. Use of false information, impersonation, or creating multiple accounts for fraudulent purposes is prohibited.
- Account Responsibility: You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@philsocial.io if you suspect unauthorized access.
- Prohibited Accounts: Accounts engaged in illegal activities, harmful behavior, or repeated violations of this Agreement will be suspended or permanently banned.
- Content Guidelines and Moderation
- User-Generated Content:
- Users retain ownership of the content they post on PhilSocial.
- By posting content, you grant PhilSocial a non-exclusive, worldwide, royalty free, transferable, and sublicensable license to host, use, modify, distribute, display, and reproduce your content. This license is solely for the purpose of operating, improving, and promoting the Platform.
- Prohibited Content:
- PhilSocial is committed to maintaining a safe and respectful community. The following content is strictly prohibited:
- Hate Speech and Harassment: Content that attacks, demeans, or incites violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics.
- Explicit Content: Pornographic, sexually explicit, or excessively violent material.
- Violence and Threats: Content that promotes or glorifies violence, self-harm, or illegal activities.
- Misinformation: False or misleading information that could cause harm, including health-related or political misinformation.
- Unauthorized Commercial Activities: Spamming, pyramid schemes, or unauthorized advertising.
- Illegal or Harmful Activities: Content related to fraud, hacking, or other unlawful acts.
- Content Review and Enforcement:
- PhilSocial uses a combination of community reporting and moderation to enforce these guidelines.
- Reporting Mechanisms:
- Users can report content they believe violates these guidelines via the in-app “Report” button or by contacting support@philsocial.io.
- Reports are confidential and do not reveal the identity of the reporting user to the content poster.
- Moderation Process:
- Reports are reviewed by trained moderation staff who assess whether the content violates PhilSocial’s guidelines.
- Depending on the severity of the violation, actions may include:
- Content removal.
- Account warnings, suspensions, or bans.
- Restoration of content if a report is deemed invalid.
- Appeals Process:
- Users who believe their content was removed or their account was restricted in error may appeal the decision via the Platform’s appeals process.
- Appeals are reviewed by a separate moderation team to ensure impartiality.
- Automated Moderation Tools:
- PhilSocial is exploring the implementation of automated moderation systems, such as AI-driven content analysis, to supplement manual review processes.
- Automated tools will be used cautiously, with human oversight to prevent errors or bias in enforcement.
- Educational Resources and Warnings:
- PhilSocial will provide users with educational content to promote responsible posting and awareness of the guidelines.
- For minor infractions, users may receive warnings or guidance before any enforcement action is taken.
- Content Visibility and Ranking:
- To promote a positive and meaningful user experience, content that aligns with community values may be prioritized in visibility.
- Content deemed low-quality or harmful may be deprioritized, even if it does not explicitly violate guidelines.
- Platform Integrity:
- PhilSocial reserves the right to take proactive steps to prevent abuse, including restricting access to certain features for accounts that exhibit suspicious or harmful behavior.
- Rewards and Claim System
- Earning Rewards: PhilSocial’s rewards system allows users to earn points or tokens through platform engagement (e.g., posting, liking, sharing, or participating in campaigns).
- Redeeming Rewards: Rewards can be redeemed for benefits within the Platform or transferred to supported crypto wallets. Details on redemption rates and processes are outlined in our Rewards Policy.
- Fraud Prevention: Any attempts to manipulate or exploit the rewards system (e.g., bot activity, multiple accounts) will result in forfeiture of rewards and potential account suspension.
- Cause Donations
- Creating a Cause: Users can create fundraising campaigns (“Causes”) through the Platform to support charitable or personal initiatives.
- Campaigns must provide accurate details about their purpose and intended use of funds.
- Fraudulent or misleading campaigns are prohibited and may result in account suspension or legal action.
- Donating to a Cause: Donations made via the Platform are non-refundable. Users are encouraged to thoroughly review campaign details before donating.
- Platform Fees: PhilSocial may charge a service fee for managing donations. Fee details will be disclosed during the donation process.
- Crypto Wallets and Blockchain Integration
- Supported Networks: PhilSocial integrates with blockchain networks such as Polygon, Ethereum, and Binance to enable crypto transactions and wallet management.
- Wallet Security: While we strive to ensure the secure transfer of crypto assets, users are responsible for managing their wallets with third-party providers.
- No Liability: PhilSocial is not liable for losses or issues arising from third-party blockchain services or unauthorized wallet access.
- Privacy and Data Protection
- Commitment to Privacy:
- At PhilSocial, we prioritize the safety and privacy of our users’ data. We are committed to collecting, processing, and storing user information responsibly and transparently in compliance with our Privacy Policy.
- Data Collection:
- PhilSocial collects only the data necessary to provide and improve our services. This may include:
- Account information (e.g., name, email address, phone number, date of birth, gender, country).
- Activity data (e.g., posts, likes, and interactions).
- Device and usage data (e.g., IP address, browser type, and session information).
- All data collection is conducted in compliance with applicable laws and with user consent when required.
- Data Usage:
- The data we collect is used to:
- Operate and maintain the Platform.
- Enhance user experience and introduce new features.
- Ensure safety, security, and compliance with our policies.
- Data Sharing:
- PhilSocial does not sell user data to third parties.
- Limited data may be shared with trusted service providers solely to facilitate essential operations, such as:
- Payment processing for donations and rewards.
- Cloud services for secure data storage and management.
- All third-party providers are bound by strict confidentiality and data protection agreements.
- User Control:
- Users have the right to:
Access, update, or delete their personal information through their account settings. - Manage their privacy preferences, including opting out of certain data processing activities, where applicable.
- Data Protection:
- PhilSocial implements industry-standard security measures to protect user data against unauthorized access, alteration, disclosure, or destruction.
- These measures include encryption, secure data storage, and regular security assessments.
- Child Safety Standards:
- Safeguards are in place to protect minors, including:
- Restricting access to inappropriate content.
- Enabling robust reporting tools to flag unsafe behavior or content.
- Complying with child data protection laws such as COPPA.
- Data Retention:
- User data is retained only for as long as necessary to fulfill the purposes outlined in this Agreement or as required by law. Once the retention period expires, data is securely deleted or anonymized.

- Detailed information about our data practices can be found in our Privacy Policy. This document provides further clarity on how we handle user data and outlines user rights under applicable laws.

- Intellectual Property
- Ownership:
- All content, materials, and features on the Platform, excluding user generated content, are owned by PhilSocial or its licensors. This includes, but is not limited to:
- Text, graphics, logos, icons, images, videos, and software.
- Trademarks, service marks, and trade dress.
- Other proprietary content provided on or through the Platform.
- License to Use:
- PhilSocial grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and its content solely for personal, non-commercial purposes, subject to this Agreement.
- Prohibited Uses:
- You may not, without explicit prior written permission from PhilSocial:
- Copy, reproduce, distribute, publicly display, or create derivative works from Platform materials.
- Use any trademarks, service marks, or logos belonging to PhilSocial in a way that causes confusion or implies endorsement.
- Reverse engineer, decompile, or extract source code from any software on the Platform.
- User-Generated Content:
- By posting or sharing content on the Platform, you grant PhilSocial a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, distribute, modify, and display your content for the purpose of operating, promoting, or improving the Platform.
- You represent and warrant that you own or have the necessary rights to post or share such content and that it does not infringe the intellectual property rights of others.
- Reporting Infringement:
- PhilSocial respects intellectual property rights and complies with applicable laws, including the Digital Millennium Copyright Act (DMCA).
- If you believe your intellectual property rights have been infringed, please report it by contacting us at support@philsocial.io. Include all necessary details as outlined in our DMCA Policy.
- Termination for Infringement:
- PhilSocial reserves the right to terminate accounts of users who repeatedly infringe upon the intellectual property rights of others.
- Termination
- By PhilSocial:
- PhilSocial reserves the right to suspend, disable, or terminate your account or access to the Platform, in whole or in part, at any time for any of the following reasons:
- Violation of this Agreement, Community Guidelines, or other policies.
- Engagement in abusive, harmful, or unlawful behavior.
- Compromising the security or integrity of the Platform or other users.
- Inactivity for an extended period (as defined in our policies).
- Where possible, PhilSocial will provide notice of the termination and an explanation of the reasons, unless doing so would:
- Expose PhilSocial or others to legal liability.
- Compromise an investigation or the integrity of the Platform.
- Cause harm to any user, third party, or the Platform.
- By the User:
- Users may deactivate or terminate their accounts at any time by:
- Using the account settings feature within the Platform.
- Contacting us at support@philsocial.io for assistance.
- Effect of Termination:
- Upon termination, access to your account and associated content may be permanently restricted or deleted.
- PhilSocial may retain certain information as required by law or in accordance with its Privacy Policy.
- Any pending obligations under this Agreement, including indemnities, will survive termination.
- Appeals Process:
- If your account is terminated and you believe it was done in error, you may submit an appeal through our appeals process by contacting support@philsocial.io.
- Limitation of Liability
- To the fullest extent permitted by law, PhilSocial is not liable for:
- Any loss of data, crypto assets, or financial loss resulting from unauthorized access, use, or modification of user accounts or crypto wallets.
- Downtime, service interruptions, or the inability to access the Platform, including outages caused by external providers.
- Content, actions, or services of third parties, including external websites or blockchain networks linked to the Platform.
- Errors, bugs, or security vulnerabilities in the Platform or third-party services.
- Total Liability:
- PhilSocial’s total liability for any claim arising from or related to this Agreement, the Platform, or its services is limited to:
- The greater of $100 or the total amount paid by the user to PhilSocial for its services in the 12 months prior to the claim.
- This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), or any other legal theory.
- Additional Disclaimers:
- PhilSocial provides the Platform “as is” and “as available,” without any express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Governing Law and Dispute Resolution
- Governing Law:
- This Agreement and any disputes or claims arising out of or in connection with it are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
- Arbitration Agreement:
- You agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Platform, or your use of the Platform shall be resolved exclusively through binding arbitration, except where prohibited by law.
- Arbitration will be conducted in the State of Delaware in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator and will be binding and confidential.
- The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, including any claim that all or part of this Agreement is void or voidable.
- Class Action Waiver:
- To the fullest extent permitted by law, you agree to bring any dispute on an individual basis, and you waive your right to participate in a class action, class arbitration, or other representative proceeding.
- Exceptions to Arbitration:
- PhilSocial may seek injunctive or equitable relief in a court of competent jurisdiction in Delaware to protect its intellectual property or other proprietary rights.
- Venue:
- For disputes that are not subject to arbitration, you agree that any legal proceeding will be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.
- Amendments
- PhilSocial reserves the right to modify or update this Agreement at any time to reflect changes in our practices, services, legal requirements, or for other operational reasons.
- When significant changes are made, we will provide notice to users through prominent means, such as email, in-app notifications, or an updated notification banner on the Platform.
- The updated Agreement will take effect immediately upon posting, unless otherwise specified.
- Your continued use of the Platform after the effective date of the updated Agreement constitutes your acceptance of the changes. If you do not agree to the updated Agreement, you must stop using the Platform and, if applicable, delete your account.
